Terms & Conditions

PrestoWP terms and conditions

These terms and conditions are the contract between you and PrestoWP (“we”, “us”, “our”). By using our website or buying a plan from us, you agree to be bound by them. Please read them carefully and save a copy. If you do not agree with them, do not use our website or services.

PrestoWP is operated by Ahmed Technologies Ltd, a limited company registered in New Zealand under the Companies Act 1993.

You are: anyone who uses our website or buys a plan from us.

We will always do our best to look after you and your websites. These terms exist so we both know who does what, what is included, and what happens if something goes wrong. We have kept them in plain English on purpose.

1. Definitions

  • “Plan” means one of the managed WordPress hosting and maintenance plans described on our pricing page, including the number of websites and the inclusions listed there.
  • “Services” means the hosting, maintenance, monitoring, backup and support services included in your plan.
  • “Our website” means prestowp.com and any other site or portal we operate, including your My Account area.
  • “Your sites” means the WordPress website or websites we host and maintain for you under your plan.
  • “Content” means everything that makes up your sites: text, images, code, media, databases and files, including anything you or your users upload.

2. The contract between us

The contract comes into existence when we receive your first payment for a plan. The inclusions of each plan are as described on our pricing page at the time you buy. Plans renew automatically at the end of each billing term, monthly or yearly depending on the term you choose, until cancelled.

You confirm you understand what is included in your plan and that it suits your needs. If you are not sure whether a plan fits your website, ask us before you buy.

We may change these terms or the way we provide the Services. Changes take effect when we publish them on our website, and we will tell you about material changes by email. If you do not accept a change, you may cancel your plan and we will refund any amount you have paid for time after your cancellation takes effect.

3. Your account

Every plan purchase creates an account with us. There is no guest checkout for plans, because you need an account to manage your subscription, billing, upgrades and cancellation.

You are responsible for anything done under your account. Keep your password confidential and tell us straight away if you think someone else has it. Keep your contact and billing details accurate and up to date in My Account. We are not responsible for problems caused by out-of-date details.

4. Prices and payment

Prices are shown on our pricing page in New Zealand dollars and exclude GST unless stated otherwise. GST is added at checkout for New Zealand customers.

Plans are billed in advance for the billing term you choose, monthly or yearly. Where you have saved a card, renewals are charged to it automatically on the renewal date. Where your plan renews manually, we will invoice you and payment is due on the renewal date. We will email you 7 days before each renewal to remind you that your plan is about to renew, and to tell you the amount and the date we will charge. Keeping your card details current in My Account is your responsibility.

If you wish to stop paying for your hosting, you can cancel your plan yourself at any time through the My Account area on our website. Section 6 explains how cancellation works and when the Services stop.

An additional one-off sign-up fee may apply for significantly outdated websites that need remedial work before we can take them on. We will always quote this before you commit.

If a renewal payment fails or is not made, we may suspend the Services after 7 days. If payment remains outstanding 30 days after the renewal date, we may cancel your plan and remove your sites from our platform. It is your responsibility to keep an independent copy of your Content at all times.

5. Changing your plan

You can upgrade or downgrade between plans at any time from the My Account area. The checkout shows any amount payable today before you confirm the change.

Changing plans on the same billing term (for example monthly to monthly): your renewal date does not change. For upgrades, you pay the difference for the remainder of the current period when you switch. For downgrades, there is nothing to pay when you switch and the lower price applies from your next renewal.

Changing from a monthly plan to a yearly plan: the yearly plan is charged in full when you switch, and your new annual term runs for one year from the switch date. Any remaining time on the monthly plan is not credited or refunded.

Changing from a yearly plan to a monthly plan: you can make this change at any time and there is nothing to pay when you switch. Your annual term must be completed first: the monthly plan starts when the annual term you have paid for expires, and your first monthly payment falls due on that date. Amounts paid for the annual term are not refundable.

6. Cancellation and refunds

You can cancel your plan at any time yourself through My Account. No phone call or email is needed. Your plan then runs to the end of the period you have paid for, and the Services stop at the end of that period. You can reactivate a pending cancellation any time before it takes effect, at no charge.

There are no refunds for monthly or annual hosting sign-ups or renewals. Amounts already paid for the current billing term, whether monthly or annual, are not refundable when you cancel or change plans. Your plan runs to the end of the term you have paid for, and any new plan you have chosen applies from the end of that term, except where these terms or the law say otherwise.

After your plan ends we will keep a copy of your sites for 14 days. Within that window we can provide you with an export of your Content on request. After it, we may permanently delete your sites and data from our platform.

7. What we do

We provide the Services with reasonable care and skill. Depending on your plan, this includes hosting your sites on enterprise infrastructure, core WordPress and plugin updates, security and uptime monitoring, cloud backups, performance checks and reporting, as listed on the pricing page.

Support is provided by email during New Zealand business hours, Monday to Friday. Support that needs a human is subject to fair use: there is no fixed cap, but usage we reasonably consider excessive for your plan may be discussed with you or quoted separately.

8. What you must do

You are responsible for your Content and for how your sites are used. You agree that you will not use the Services to:

  • break any law or regulation, or infringe anyone’s intellectual property or other rights
  • send spam or unsolicited bulk email, or run phishing, fraud or misleading marketing
  • store or distribute malware, or attempt to gain unauthorised access to any system
  • publish material that is defamatory, harassing, obscene or that incites violence or hatred
  • resell, share or sub-license your plan without our written consent
  • place unreasonable load on the platform or interfere with service to other customers.

You warrant that you hold valid licences for any premium themes, plugins or other software used on your sites, and that you have the right to use all Content on them.

If you breach this section we may suspend or terminate the Services immediately. Where practical we will contact you first.

9. Third-party platform

Your sites are hosted on WP Engine’s managed WordPress platform. Their acceptable use requirements apply to sites on their infrastructure, and we may be required to act on a breach of them. We may change the underlying provider, and if we do we will migrate your sites at no cost to you and with reasonable notice.

10. Backups and data

We take backups as described in your plan. Backups are a safety net, not an archive: you agree to keep a complete and current copy of your Content somewhere independent of our Services. Restores needed because of a platform failure are free. Restores or data extraction for other reasons may be charged at our standard hourly rate, quoted in advance.

11. Interruptions and maintenance

We will give you reasonable notice of planned maintenance where the expected downtime justifies it. Some interruptions are outside our control. We are not liable for loss caused by an interruption to the Services, and where an interruption is significant and within our control, our responsibility is limited as set out in section 13.

12. Intellectual property

You keep all rights in your Content and your sites. You grant us the licence we need to host, copy, back up and work on them in order to provide the Services.

We keep all rights in our own tools, code, processes and know-how, including anything we build to deliver the Services. Where our work product is incorporated into your sites, you have a non-exclusive licence to keep using it on those sites.

Sites we host carry a small credit in the footer, “Hosted by PrestoWP”, linking to our website. It sits in the normal footer text and is never hidden. If you would rather not display it, email us and we will remove it at no charge.

13. Liability

If you are acquiring the Services for the purposes of a business, the Consumer Guarantees Act 1993 does not apply. Nothing in these terms excludes or limits any liability that cannot be excluded or limited under New Zealand law, or liability for fraud.

We are not liable for indirect or consequential loss, loss of revenue, profits, business, goodwill or data, however it arises.

Where we are liable to you, our total liability under this agreement is limited to the amount you have paid us for the Services in the 12 months before the event giving rise to the claim.

These limits also apply for the benefit of our directors, employees, contractors and suppliers, who may enforce them under the Contract and Commercial Law Act 2017.

14. You indemnify us

You agree to cover any costs, claims and expenses we reasonably incur arising from your breach of these terms, your Content, your use of the Services in breach of any law, or a claim that your Content infringes someone else’s rights.

15. Termination by us

We may terminate this agreement:

  • on 15 days’ written notice to your account email, for any reason. In that case we will refund the balance of anything you have paid for time after termination
  • immediately and without notice if you fail to comply with these terms
  • immediately if you become insolvent, bankrupt or subject to equivalent proceedings.

On termination your right to use the Services stops, and section 6 applies to your data.

16. Notices

We send notices to the email address on your account. You send notices to [email protected]. An emailed notice is treated as received at the time it is sent, or when business hours next resume if sent outside them.

17. General

  • Entire agreement: these terms and the plan description on our pricing page are the whole agreement between us.
  • Severance: if any part of these terms is found unenforceable, the rest still stands.
  • Waiver: not enforcing a right straight away does not mean we give it up.
  • Assignment: you may not transfer this agreement without our written consent. We may assign or novate it, for example on a sale of the business.
  • Force majeure: neither of us is liable for failure caused by events beyond reasonable control.
  • No partnership: nothing in these terms creates a partnership, joint venture or agency between us.

18. Governing law

These terms are governed by New Zealand law, and the courts of New Zealand have exclusive jurisdiction over any dispute arising from them. Before starting proceedings, both of us agree to try in good faith to resolve any dispute directly, and then by mediation.
